What is a Virtual Data Room?
A Virtual Data Room (VDR) is an online repository of files designed to model traditional, real-world data rooms via enhanced security, controlled access, and provide auditing capabilities. Organizations use VDRs to securely store and share their most sensitive, proprietary data while keeping their end users anonymous from each other. Typical applications of a VDR include mergers and acquisitions, joint ventures, or any type of legal or financial transaction.
Data Room Mode
When a higher degree of confidentiality or features such as discreet audit trails of every user action is required, Data Room Mode can be enabled for any of your Data Rooms so that only Administrators and Moderators can view and track user activity.
When Data Room Mode has been enabled, the Data Room tag will appear under the relevant Data Room name on the Home Page.
Key Data Room Mode Features
File History: Keep track of which users accessed what content and when files have been viewed, downloaded, or edited, including via real-time notification.
Automatic Indexing: Add numerical indexing to every folder and file in a Data Room to create simple references for complex file structures.
Document Watermarks: Automatically generate watermarks across your documents to identify your materials, help prevent leaks, and protect your property.
Non-Disclosure Agreements (NDAs): Users can be required to accept a fully customizable NDA before accessing your content.
Precise Permissions: Seven different permission levels combined with different tiers of access enable precise control of which users have access to what content, at the file, folder, Data Room, or Project level.
